Let me share with you a unique nature and form of enterprise. It's called a "limited partnership enterprise"
在有限合伙企業當中，有兩類合伙人：
In a limited partnership enterprise, there are two types of partners:
第一個：叫普通合伙人
The first one is called a general partner
第二個：叫有限合伙人
The second one is called a limited partner
普通合伙人也叫（GP），有限合伙人叫（LP），同時普通合伙人在我們的現實操作當中，也叫執行事務合伙人。我們看一下兩種合伙人有什么不一樣的區別。
General partners are also called (GP), limited partners are called (LP), and in our actual operations, general partners are also called executive partners. Let's take a look at the differences between the two types of partners.
首先關于普通合伙人（GP）三個特征：
Firstly, regarding the three characteristics of a general partner (GP):
第一個：有100%的決策權，也就意味著如果你是普通合伙人（GP），你就擁有100%的決策權。
The first one: having 100% decision-making power, which means that if you are a general partner (GP), you have 100% decision-making power.
第二個：可以少量出資也可以不出資，即使你不出錢或出很少的錢，你也一樣有控制權。
The second one: You can contribute a small amount or not, even if you don't contribute or contribute very little money, you still have control.
第三個：承擔無限責任。
The third one is to assume unlimited liability.
這是普通合伙人（GP）的三大特征
These are the three major characteristics of a general partner (GP)
我們再看一下有限合伙人（LP），有限合伙人（LP）同樣也是三大特征：
Let's take another look at Limited Partners (LPs), which also have three major characteristics:
第一個：沒有決策權，有限合伙人無論你出多少錢，無論你占多少股份，你也是沒有決策權的。
The first one: Without decision-making power, limited partners do not have decision-making power no matter how much money you contribute or how many shares you hold.
第二個：有限合伙人主要負責出資，包括你的員工、投資人等等，都可以作為有限合伙人，主要負責出資。
The second one: Limited partners are mainly responsible for capital contributions, including your employees, investors, etc., all of whom can act as limited partners and are primarily responsible for capital contributions.
第三個：承擔有限責任，按照你的出資額承擔有限責任。
The third option is to assume limited liability based on your investment amount.
所以：這就是為什么“有限合伙企業”能為很多創始人，提供一種掌握公司控制權的方式，一般來說創始人都是當普通合伙人，不用出資，但是會有一個很大的決策權利；

而有限合伙企業作為員工和投資人的持股平臺來用。
